To issue shares in your share registry on Orchestra, you will need to be logged in and have access as a company administrator to make any changes. From your dashboard, click the ‘Share Registry’ dropdown from the toolbar on the left of the page and select ‘Transfer’.
From the three available options, select either the '..initial share issue..' option or the 'create a share issue' option.
- An ‘initial share issue’ is used for setting up your registry as at today’s date, without backloading the full history of transactions. You are issuing shares to set up the current shareholding structure.
- A ‘share issue’ is the standard method for all other issuances from the company.
For either option, you will need to identify who the shares are being issued to by selecting the dropdown under 'New Shareholder (to)'.
- If you are issuing more shares to an existing shareholder, you can select their name from the dropdown menu.
- If you are issuing shares to a new shareholder, select 'Create a new shareholder' from the dropdown and input the details of the new shareholder.
You will then need to enter the transfer particulars, including the types of shares, funding round (if applicable), the number of shares, the share price, and the date of the share transfer.
If you need to create a new funding round or share type/class, you can do so from the respective ‘Share Class’ and ‘Funding Round’ pages, accessible from the toolbar on the left-hand side of the screen.
Once you have filled in the necessary details, click 'Continue' to lodge the share issue.
